These Terms and Conditions ("Terms") govern the provision of services by Lightwork Ecommerce Ltd ("Lightwork", "we", "us", "our") to our clients ("you", "your"). By engaging our services, you agree to be bound by these Terms.
Lightwork Ecommerce Ltd is a company registered in England and Wales. Our registered email address is hello@lightworkecommerce.com.
We provide ecommerce agency services including, but not limited to, Magento 2 support and development, marketplace management, website builds, and ecommerce integrations.
The specific scope, deliverables, and timelines for each engagement will be agreed in writing via a proposal or Statement of Work ("SOW") prior to work commencing. Any changes to scope must be agreed in writing and may result in additional charges.
Monthly support plans operate on a rolling monthly basis. Services are provided as described in the relevant plan tier. Development hours included in support plans are allocated monthly and do not roll over to subsequent months.
Fixed-price projects are scoped and costed in advance. Work outside the agreed scope will be charged at our standard hourly rate of £85 + VAT, subject to prior written agreement.
Invoices are issued monthly in advance for support plans, and at agreed milestones for project work. Payment is due within 14 days of the invoice date unless otherwise agreed in writing.
Late payments may incur interest at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
All prices are exclusive of VAT. VAT will be charged at the prevailing rate where applicable.
Upon receipt of full payment, all custom work created specifically for you (including custom code, designs, and written content) becomes your property. We retain the right to reference the work in our portfolio unless you request otherwise in writing.
Any third-party software, platforms, or open-source components used in your project remain subject to their respective licences. We will advise you of any relevant licences during scoping.
Our pre-existing tools, methodologies, and frameworks remain our intellectual property and are not transferred to you, although you benefit from their use during the engagement.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business data, technical architecture, pricing, and client information.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
To the fullest extent permitted by law, our total liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim.
We shall not be liable for any indirect, consequential, or special losses, including loss of revenue, loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such losses.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
Either party may terminate a monthly support plan with 30 days' written notice. Project engagements may be terminated as specified in the relevant SOW.
We reserve the right to suspend or terminate services immediately if payment is not received within 30 days of the due date, or if you act in breach of these Terms.
Upon termination, you will retain all deliverables for which payment has been received in full. Any work in progress will be invoiced on a pro-rata basis.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms from time to time. We will notify existing clients of material changes via email. Continued use of our services following notification constitutes acceptance of the updated Terms.
